PPC and Amazon Web Services (“AWS”) have signed a Memorandum of Understanding (“MoU”) setting out the framework and principal terms for the development of a data center facility in Agios Dimitrios, Western Macedonia, Greece (the “Project”).

Under the framework contemplated by the MoU:

1/ AWS leases the data center facility, upon completion, under a long-term leasehold interest of 15 years (subject to customary terms);

2/ PPC provides the site, the buildings and the supporting energy infrastructure, while AWS installs and operates the IT infrastructure;

3/ In the initial phase, the data center facility comprises 300 MW of incoming power. PPC and AWS intend to explore further expansion (up to 1GW), subject to mutual agreement, market conditions, and the execution of further definitive agreements; and

4/ AWS purchases, and PPC supplies, energy under long-term renewable energy power purchase agreements (subject to customary terms), in line with Amazon’s goal to reach net-zero carbon across its operations by 2040.

Separately, the two companies intend to explore a multi-year cloud and artificial intelligence collaboration to support PPC’s digital transformation.

The MoU is binding. The Project and all commercial terms (including the terms described above) remain subject to the negotiation and execution of the definitive agreements and to other customary conditions, including the completion of due diligence, the securing of the required grid connection and the receipt of all necessary approvals from the competent authorities.
